Terms & Conditions

THESE TERMS AND CONDITIONS DO NOT AFFECT THE STATUTORY RIGHTS OF ANY CONSUMER

1. Definitions & Interpretation

1.1 In these conditions, the following words and phrases shall have the meanings ascribed to them below:

1.1.1 "Customer" means the person acting for purposes relating to that person’s trade, business, craft or profession.

1.1.2 "Seller" means Buy It Direct Limited (Company Number 04171412, VAT Number GB 721 3118 80) whose registered office is at Unit A, Trident Business Park, Leeds Road, Huddersfield, West Yorkshire, trading as AppliancesDirect.co.uk.

1.1.3 "Contract" means any contract between the Seller and the Customer for the sale and purchase of the Products, subject to and incorporating these conditions.

1.1.4 "Products" means any Products agreed in the Contract to be supplied to the Customer by the Seller (including any part or parts of them).

1.2 A reference to a particular law is a reference to it as it is in force for the time being taking account of any amendment, extension, application or re-enactment and includes any subordinate legislation for the time being in force made under it.

1.3 Words in the singular include the plural and in the plural include the singular.

1.4 A reference to one gender includes a reference to the other gender.

1.5 Condition headings do not affect the interpretation of these conditions.

2. Entire Agreement

2.1 Subject to any variation under condition 2.3 the Contract shall be on these conditions to the exclusion of all other terms and conditions.

2.2 No terms or conditions endorsed on or contained in the Customer's purchase order or other document shall form part of the Contract simply as a result of such document being referred to.

2.3 These conditions apply to all the Seller's sales and any variation shall have no effect unless expressly agreed in writing and signed by a director of the Seller.

3. Order process

3.1 All orders placed by the Customer are subject to final acceptance by the Seller.

3.2 An order acknowledgement is not an order confirmation or acceptance.

3.3 Acceptance of the Customer's order occurs on despatch of the Products unless the order has been cancelled or rejected.

4. Description and pricing

4.1 Product descriptions shall be as set out on the Seller's website at the time the order is placed.

4.2 Samples, drawings, specifications and advertising are issued for guidance only and do not form part of the Contract.

4.3 If a pricing error occurs, the Customer will be informed and offered the option to reconfirm or cancel the order.

4.4 All prices are shown in UK pounds sterling and include VAT unless stated otherwise but exclude delivery charges.

5. Delivery

5.1 Delivery shall be made to the Customer’s address, another address at the Seller’s discretion, or by collection.

5.2 Proof of address and identification may be required.

5.3 Delivery dates are estimates only.

5.4 Products must be collected within 5 days if collection is chosen.

5.5 Risk passes if delivery cannot be completed due to Customer fault.

5.6 Re-delivery may incur an additional charge.

5.7 Products may be delivered in instalments.

5.8 Delivery shortages must be reported within 24 hours.

5.9 For international deliveries outside mainland UK and specified territories, delivery responsibilities and liabilities differ as outlined.

6. Risk

6.1 Responsibility for the Products passes to the Customer at the time of delivery or shipping for international orders.

7. Payment

7.1 Payment methods are as shown on the Seller's website.

7.2 A 1% surcharge applies when paying by credit card.

8. Customers's rights of cancellation

8.1 Customers may cancel within 14 working days after delivery.

8.2 Certain exclusions apply including opened software and registered computers.

8.3 Cancellation must be made in writing.

8.4 Products must be returned at the Customer’s cost.

8.5 The Customer must take reasonable care of Products.

8.6 IT equipment must be restored to factory settings.

8.7 Refunds will be issued within 30 days.

8.8 Delivery charges may be deducted from refunds.

8.9 A Service Charge may apply for failure to restore IT equipment.

8.10 The Seller may recover Service Charges by card debit or set-off.

8.11 Service Charges compensate for loss due to lack of reasonable care.

9. Limitation of liability

9.1 The Seller’s liability is limited to the Contract price.

9.2 Liability cannot be excluded for death, personal injury, fraud or statutory protections.

9.3 The Seller is not liable for indirect or consequential losses.

10. Assignment

10.1 The Seller may assign the Contract.

10.2 The Customer may not assign without written consent.

11. Unforseeable delays

11.1 The Seller may defer delivery or cancel the Contract due to events beyond reasonable control.

12. Export of products

12.1 The Customer must comply with export legislation and obtain required licences.

12.2 Ownership and risk pass at the Seller’s premises for certain international orders.

13. General

13.1 Rights and remedies are without prejudice to others.

13.2 Invalid provisions are severable.

13.3 Failure to enforce does not waive rights.

13.4 Waivers do not affect future breaches.

13.5 Third party rights are excluded.

13.6 English law governs the Contract.

14. Delivery (Trade customers)

14.1 Conditions 5.1 and 5.2 do not apply.

14.2 Delivery shall be made to the Customer’s business address.

15. Products purchased on credit terms

15.1 An invoice will be issued with the Products.

15.2 Payment is due within 30 days.

15.3 Payment is only deemed received when cleared funds are obtained.

15.4 No deductions unless ordered by a court.

15.5 Interest may be charged on late payments.

15.6 Ownership passes only once full payment is received.

15.7 Products must be stored separately until ownership transfers.

15.8 Possession rights terminate in insolvency situations.

15.9 The Seller may recover payment despite ownership not transferring.

15.10 The Seller may enter premises to recover Products.

16. Quality

16.1 The Seller is a reseller and offers no express warranties.

16.2 All implied warranties are excluded to the extent permitted by law.

16.3 Products may include manufacturer warranties.

16.4 Defective Products may be handled by the manufacturer.

16.5 Manufacturer warranties apply to domestic use only.

16.6 The Seller’s quality policy is available upon request.

17. No cancellation rights for trade sales

17.1 Cancellation rights do not apply for trade, business or professional purchases.

18. Returns from commercial customers

18.1 Products may be returned within 7 days subject to written agreement and a 25% restocking charge.

18.2 No returns are accepted for goods shipped outside the UK, Ireland and Channel Isles.
